Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VaanijyaSetu platform, website, and services (collectively, the "Service") operated by Zorvix Infotech Private Limited ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract under Indian law. If you are registering on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

To use the Service, you must register by providing accurate information including your name (or company name), email address, mobile number, address, and (for GST-registered businesses) your GSTIN. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Keeping your account information current and accurate

3. The Service

VaanijyaSetu enables resellers ("Clients") to source products from our catalog and sell them to end-customers through their own stores (including WooCommerce, Shopify, WhatsApp, or social media). When a Client receives an order, they place a corresponding order with us, and we ship the products directly to the end-customer.

4. Subscription Plans & Fees

Access to the Service requires an active subscription. Subscription fees are billed in advance for the period selected and are listed in Indian Rupees (₹), exclusive of applicable taxes. We reserve the right to modify subscription fees with 30 days' prior notice; existing subscriptions will continue at the original price until renewal.

5. Wallet & Order Payments

Clients may pay for orders via:

• Direct payment through Razorpay (cards, UPI, net banking, wallets)
• Wallet credit pre-loaded into the Client account

Wallet credit, once loaded, is non-refundable except as required by law or our Refund Policy. Funds in the wallet do not earn interest.

6. Product Pricing & Margins

Wholesale prices visible to Clients are exclusive of taxes unless explicitly stated. Clients are free to set their own retail prices for end-customers. We do not guarantee any minimum margin, nor do we share in retail profits.

7. Stock Availability

Product availability is updated regularly but not in real time. If a Client receives an order for a product that we are unable to fulfill due to stock unavailability, we will notify the Client and either offer a substitute, hold the order, or refund the wallet/payment for that product.

8. Acceptable Use

You agree not to use the Service to:

• Sell products that infringe third-party intellectual property rights
• Sell counterfeit, misbranded, or illegal goods
• Misrepresent product origin, ingredients, or specifications to end-customers
• Engage in fraud, money laundering, or any unlawful activity
• Reverse-engineer, scrape, or systematically extract data from the Service
• Interfere with the operation of the Service or the underlying infrastructure

We may suspend or terminate accounts that violate these provisions without notice.

9. Intellectual Property

All content on the Service, including the VaanijyaSetu name, logo, platform code, and product photography (unless explicitly licensed for resale use), is owned by Zorvix Infotech Private Limited or our licensors. Clients are granted a limited, non-exclusive, revocable licence to use product images and descriptions solely for the purpose of selling those products through the Service.

10. Customer Relationship

The end-customer is the customer of the Client, not of VaanijyaSetu. Clients are responsible for:

• Customer communication and support
• Returns initiated by end-customers (per our Shipping & Refund policies)
• Compliance with consumer protection laws applicable to their sales
• Issuing invoices to end-customers (we provide invoices to the Client for their orders with us)

11. Limitation of Liability

To the maximum extent permitted by Indian law, our aggregate liability arising out of or relating to the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity.

12. Termination

You may terminate your account at any time by contacting support. We may suspend or terminate your account for breach of these Terms, non-payment, fraud, or as required by law. Upon termination, your access to the Service ends and any unused wallet credit may be refunded per our Refund Policy.

13. Modifications

We may revise these Terms from time to time. Material changes will be notified to you by email or via the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ernakulam, Kerala.
